Terms of Service
Last updated 19 October 2026
These terms set out the agreement between you and Hieland Road Pty Ltd (ABN 50 665 485 941) ("we", "us" or "our"), for your use of Unpaper, the proposal software available at app.getunpaper.com and getunpaper.com (the "service"). We're based in Melbourne, Australia.
By creating an account or using the service, you agree to these terms and to our Privacy Policy. If you're using Unpaper on behalf of a business, you're agreeing on behalf of that business and confirming you're authorised to do so, and "you" includes the business.
If you're a client who's been sent a proposal through Unpaper, the agreement in that proposal is between you and the business that sent it, not us. Section 5 explains more, and the parts of these terms about acceptable use and our liability also apply when you view or accept a proposal.
1. Your account
You need an account to create and send proposals. You can sign up with an email code or Google. You must be at least 18 and able to enter into a binding contract, and the information you give us must be accurate and kept up to date.
You're responsible for keeping your sign-in details secure and for everything that happens under your account. If you think someone has accessed your account without permission, tell us straight away at hello@usefulmachines.com.au. Unpaper is designed for business use, and an account is for you or your business. Don't share it with people outside your business or resell access to it.
2. Using Unpaper
You may use the service to create, send and manage proposals for your business, in line with these terms and the law. We grant you a non-exclusive, non-transferable right to do that for as long as your account is active.
You agree not to use Unpaper to:
- break any law, including privacy, spam, consumer protection and anti-discrimination laws;
- send spam or unsolicited bulk messages, or send proposals to people who haven't asked to deal with you;
- deceive or defraud anyone, impersonate someone else or misrepresent your business;
- upload content that's unlawful, defamatory, threatening, harassing, obscene, or that infringes someone else's intellectual property or privacy;
- upload malware or anything else designed to harm systems or data;
- try to get around security or rate limits, access accounts or data that aren't yours, or probe, scan or test the service for vulnerabilities without our written permission;
- overload or disrupt the service, or scrape or copy it with automated tools beyond normal use; or
- copy, reverse engineer or build a competing product from the service.
We may remove content or suspend access if we reasonably believe these rules have been broken.
3. Your content
You own your proposals and everything else you put into Unpaper, including your business details, logo, rates, terms and your clients' details ("your content"). We don't claim ownership of any of it.
So that we can run the service, you give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, display and transmit your content, only as needed to provide, secure and improve Unpaper for you. That includes showing your proposals to the people you send them to and generating PDFs. The licence ends when your content is deleted from our systems, except for accepted proposal records we keep after your account closes (see section 7), copies we're required to keep by law and copies held for a short time in backups.
You're responsible for your content. You confirm that you have the rights to use it, including any logos and images you upload, and that you're allowed to give us your clients' names and email addresses and to send them proposals. Where you enter personal information about your clients, you're responsible for complying with privacy law in relation to it, including telling them how you handle their information. We'll handle it as described in our Privacy Policy.
If you send us suggestions or feedback, we may use them freely without owing you anything.
4. Free and paid plans
Unpaper has a free plan and a paid Pro plan. Proposals sent on the free plan include a small "Sent with Unpaper" note. The free plan can have up to 3 live proposals at once. A proposal is live when it has been sent and it isn't accepted, lost or expired.
Pro is charged per workspace, not per seat. If the billing country is Australia, Pro is A$35 a month, or A$348 a year (A$29 a month). Those Australian prices include GST. For every other billing country, Pro is US$24 a month, or US$228 a year (US$19 a month). The price is shown in the app before you pay. The charge follows the billing country chosen at checkout, not a currency switch on the page. Payments are processed by Stripe, and by subscribing you also agree to Stripe's terms. Stripe issues the invoice and collects any tax that applies.
Paid plans are billed in advance and renew until you cancel. You can cancel in Billing, and Pro stays active until the end of the period you've paid for. The workspace then moves to the free plan. Cancelling doesn't delete your proposals. Unless the law says otherwise (including under the Australian Consumer Law), fees already paid aren't refundable for a partial period. If a payment fails, Pro stays on while Stripe retries. If the subscription ends, the workspace moves to the free plan. Your proposals stay.
We may change our plans or fees from time to time. If we increase the fee for a plan you're on, or take away a feature that's a significant part of it, we'll give you at least 30 days' notice by email. The change will apply from your next billing period after the notice ends. If you don't want to continue, you can cancel before then. We may also change what's included in the free plan, and we'll give you reasonable notice if a change significantly affects you.
5. Your proposals and your agreements with your clients
Unpaper is a tool for preparing proposals and recording when they're accepted. When you send a proposal and your client accepts it, any agreement that forms is between you and your client. We're not a party to it, we don't act as anyone's agent, and we're not responsible for whether either of you does what you've agreed.
That means you're responsible for:
- what your proposals say, including scope, prices, payment options, and any terms and conditions you include;
- making sure your proposals and dealings with clients comply with the law, including the Australian Consumer Law and any industry rules that apply to you;
- deciding whether a typed-name acceptance is suitable for a particular agreement. Electronic acceptance is valid for many agreements in Australia, but some documents have special signing or witnessing requirements, and some clients or situations may call for a different method. If you're unsure, get your own legal advice; and
- invoicing your clients and collecting payment from them. Choosing a payment option in a proposal records your client's choice. Unpaper doesn't process payments between you and your clients.
The acceptance record we keep (the name typed, the email address the proposal was sent to, the date and time, the IP address, the city and the version of the proposal accepted) is there to help you and your client keep a record of what happened. The client doesn't type a different email. The address is the one you used when you sent the proposal. We take care to make the record accurate, but IP-based location is approximate, and we can't guarantee who actually typed the name. The public page and the PDF don't show the IP address or the city. Any disagreement about a proposal or the work is between you and your client. Because an accepted proposal is a record that matters to both of you, we keep it after you close your account, as explained in section 7.
The first time someone opens a link you sent, we email you once to say the proposal has been opened. That email doesn't include an IP address or a city, and it doesn't prove your client was the person who opened the link.
6. Our service and intellectual property
We own Unpaper, including its software, design, templates (other than your content) and branding. Apart from the right to use the service under these terms, you don't get any rights in it.
We're always working on Unpaper, so features will change over time. We'll try to keep the service available and reliable, but we don't promise it'll be uninterrupted or error-free, and we may need to take it offline for maintenance. We may also offer early or beta features, which may be less reliable and which we can change or withdraw.
Unpaper relies on third-party services such as hosting, email delivery, authentication and payments. We choose these providers carefully, but we're not responsible for their services, and outages on their side can affect Unpaper.
We recommend you download and keep copies of accepted proposal PDFs and anything else important to you.
7. Suspension and termination
You can stop using Unpaper at any time. To close your account, the owner requests account deletion from Settings. The request waits 30 days, and the owner can cancel it until then. If you can't get into your account, email us at hello@usefulmachines.com.au and we'll do it once we've confirmed who you are. If you're on Pro, cancel the subscription before the deletion is completed. We won't finish the deletion while that subscription is still active.
We may suspend or close your account if you seriously or repeatedly break these terms, if you don't pay fees that are due, if we're required to by law, or if your use puts the service, other users or anyone else at risk. Where it's reasonable to do so, we'll tell you first and give you a chance to fix the problem. We may also stop offering Unpaper altogether. If we do, we'll give you at least 30 days' notice so you can download your content, and refund any fees you've paid for the period after the service ends.
When your account closes, your right to use the service ends. After the 30-day wait, we delete your account details, business details, drafts and proposals that were never accepted, as described in our Privacy Policy. Proposal links for that workspace stop working, including links to proposals that were accepted.
Accepted proposals are treated differently, because they're a record of an agreement between you and your client. We keep each accepted proposal, its acceptance record and the accepted PDF. We store a retention date of 7 years from the acceptance. Nothing in the product deletes those records when that date passes. During that time we use these records for record keeping, disputes and legal purposes. You and your client can each ask us for a copy. The public page and the PDF download stop once the deletion is completed, so download any PDFs you want before then. You agree that we may keep and use these records in this way, and the licence in section 3 continues for them until they're deleted. Sections 3 (in relation to feedback and retained accepted proposals), 5, 7 (in relation to retained accepted proposals), 8, 9, 10 and 12 continue to apply after your account closes.
8. Australian Consumer Law
Nothing in these terms excludes, restricts or changes any right or remedy, or any guarantee, warranty or other term or condition, that's implied or imposed by the Australian Consumer Law or any other law and can't lawfully be excluded or limited ("non-excludable rights"). If you're a consumer, our services come with guarantees that can't be excluded under the Australian Consumer Law.
Where we're allowed to limit our liability for a failure to comply with a consumer guarantee, and the services aren't of a kind ordinarily acquired for personal, domestic or household use, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
9. Limits on our liability
Subject to your non-excludable rights, and to the extent the law allows:
- apart from what's expressly set out in these terms, the service is provided "as is" and we don't give any other warranties or guarantees about it;
- we're not liable for any loss of profit, revenue, business, opportunity, goodwill or data, or for any indirect or consequential loss, however it arises; and
- our total liability to you for all claims connected with these terms or the service is limited to the greater of the fees you paid us in the 12 months before the event that gave rise to the claim, and AUD $100.
We're also not liable for loss caused by your content, your agreements or dealings with your clients, or third-party services, or for anything caused by events beyond our reasonable control.
These limits don't apply to liability that can't be limited by law, or to loss caused by our fraud or wilful misconduct. Our liability is reduced to the extent that you or your business caused or contributed to the loss.
10. Your responsibility to us
If someone makes a claim against us because of your content, your agreements or dealings with your clients, or your breach of these terms or the law, you'll be responsible for the reasonable costs and losses we incur as a result, except to the extent that we caused or contributed to them.
11. Changes to these terms
We may update these terms from time to time, for example when we change the service, change plans or the law changes. We'll post the updated terms on this page and change the date at the top. If a change materially affects your rights, we'll tell you by email or in the app at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you don't agree with a change, you can close your account before it takes effect. If you keep using Unpaper after that, the updated terms will apply.
12. General
These terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts that can hear appeals from them. If you're a consumer living outside Australia, this doesn't take away any protections you have under the laws of the country you live in.
If a dispute comes up, please contact us first so we can try to sort it out in good faith. Either party can still seek urgent relief from a court.
These terms, together with our Privacy Policy and any plan details shown when you sign up, are the whole agreement between you and us about the service. If any part of these terms is found to be unenforceable, it'll be read down or removed to the extent needed, and the rest stays in force. If we don't enforce a right straight away, we haven't waived it. You can't transfer your rights under these terms without our written consent. We may transfer ours to a buyer or successor of the Unpaper business, and we'll tell you if we do.
We'll send notices to the email address on your account. You can send notices to us at hello@usefulmachines.com.au.
